    Welcome to Caribou Contests!

    We are an online educational platform with the goal of making math fun for everyone through contests, games, and other activities on the Caribou website (cariboutests.com).

    Please read these Terms & Conditions as well as our Privacy Policy carefully before using the Caribou Contests website. This agreement governs your use of the Caribou Contests website as well as any products and services offered by Caribou Contests Inc. For the purposes of these terms and conditions, “Caribou”, “Us”, “Our” and “We” refers to Caribou Contests Inc. and “You” and “Your” refers to you, the client, visitor, website user or person using our website.

    This Agreement shall begin on the date hereof.

  2. Accepting the Terms

    When you use the Caribou Contests website and its content, create an account, and/or make a purchase, you accept and agree to these Terms & Conditions, as well as our Privacy Policy.

    You may not use the Caribou Contests website if you do not agree to these terms.

    If you are unable to consent to these terms because you are not of legal age to form a binding contract with Caribou, then you must have the consent of your parents or guardians. Similarly, if you are making purchases or creating accounts for a user who is a minor, then you must have the consent of the user’s parents or guardians.

    If you choose to use our website then we will regard that use as conclusive evidence of your agreement and acceptance that these terms govern your and Caribou’s rights and obligations to each other.

  3. Right to make changes to the Agreement

    We reserve the right to change, modify, add or remove portions of these terms at any time. Please check these terms regularly prior to using our website to ensure you are aware of any changes. We will ensure that these Terms & Conditions can be easily found on our website and we will endeavor to notify our users of any significant changes to this agreement.

  4. Cookies

    The Caribou website uses Cookies to enable functionalities on some pages. By accessing the Caribou Contests website, you have agreed to use cookies in agreement with Caribou Contests Inc's Privacy Policy.

  5. User Guidelines

    1. User-Generated Content

      On the Caribou Contests website it is possible for users to generate some content that may be viewed by others, including but not limited to photos on the Gallery page, and text such as captions for these photos, contest comments, and user account information such as user names and institution names. All content posted or otherwise submitted to the Site is the sole responsibility of the account holder from which such content originates and you acknowledge that you, and not Caribou Contests, are responsible for all content that you post or otherwise submit to our website. Caribou Contests reserves the right (but has no obligation) to remove user-generated content that we deem unlawful, offensive, indecent, or objectionable.

    2. User Conduct

      As a condition of use, you promise to abide by these Terms and not to use the Caribou website or services for any purpose that is unlawful or prohibited by these Terms, or any other purpose not reasonably intended by Caribou. By way of example, and not as a limitation, you agree not to use the Services:

      • To abuse, harass, threaten, impersonate, or intimidate any person;
      • To post or transmit, or cause to be posted or transmitted, any Content that is libelous, defamatory, obscene, pornographic, abusive, offensive, profane, or that infringes any copyright or other right of any person;
      • To communicate with Caribou, its representatives, or other users in an abusive or offensive manner;
      • For any purpose that is not permitted under the laws of the jurisdiction where you use the Services;
      • To participate unfairly in contests held by Caribou Contests Inc in violation of our Contest Rules, including but not limited to participating in a contest level below your true grade level, or creating multiple accounts for the purpose of participating more than once in the same contest;
      • To advertise to, or solicit, any user to buy or sell any third party products or services, or to use any information obtained from the Services in order to contact, advertise to, solicit, or sell to any user without their prior explicit consent;
      • To sell, assign, or otherwise transfer your account, with the exception of Caribou Coordinators who are passing on the role of Caribou Coordinator to another member of their institution.

  6. Copyright and Intellectual Property

    Unless otherwise stated, Caribou Contests Inc own the intellectual property rights for all material on the Caribou Contests website. All intellectual property rights are reserved. This material includes, but is not limited to, the design, layout, graphics, trademarks, source code, contest problems and solutions, and other content. You may access this material from cariboutests.com for your own personal use subjected to restrictions set in these Terms & Conditions.

    You must not, without explicit written permission from Caribou Contests Inc:

    • Republish material from Caribou Contests
    • Sell, rent or sub-license material from Caribou Contests
    • Reproduce, duplicate or copy material from Caribou Contests
    • Redistribute content from Caribou Contests

    We retain all copyright over logos, domain names, and other distinctive brand features. You may not, except with our express written permission, distribute or commercially exploit the content. With our explicit permission, these can be used for the purposes of advertising our services by our partners and users.

  7. Warranty Disclaimer

    The services provided by Caribou Contests are provided "as is" and "as available" and to the extent permitted by law without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. In addition, while Caribou Contests Inc. strives to provide a good user experience, we do not represent or warrant that:

    • The services will always be secure, error-free, or timely;
    • The services will always function without delays, disruptions, or imperfections; or
    • That any content, user content, or information you obtain on or through the services will be timely or accurate.

  8. Limitation of Liability

    It is an essential pre-condition to you using our website that you agree and accept that Caribou is not legally responsible for any loss or damage you might suffer related to your use of the website, whether from errors or from omissions in our documents or information, any goods or services we may offer or from any other use of the website. Your use of any information or materials on this website is entirely at your own risk, for which we shall not be liable.

    It shall be your own responsibility to ensure that any products, services or information available through this website meet your specific, personal requirements. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

  9. Pricing and Payment Terms

    1. Subscription to Services

      Subscription to Caribou Contests Inc's online products and services are valid for the duration of one Caribou Cup year (July 1 – June 30). Our products and services are online only and may be accessed via the Caribou Contests website, no physical version of materials will be provided unless otherwise stated. Validity and access to these services continues from the date of purchase until the end of the following Caribou Cup year on June 30. To use our services, you must have Internet access and a compatible device.

    2. Subscription & Pricing Changes

      We reserve the right to change our subscriptions and the price of our services from time to time, and to apply different offerings and prices depending on country, currency, and our partnerships with third parties. We will endeavour to inform our users of any significant changes to subscriptions and prices that may affect them.

    3. Free Products and Services

      In some countries, certain services and products may be offered for free, including but not limited to participation in contests. We reserve the right to limit, expand, or otherwise modify free access to our services at our discretion.

    4. Restrictions on Use

      In general, products and services on our website may only be accessed and used by the account holder for which these were purchased or otherwise acquired. The same terms and restrictions apply whether access was acquired via a purchase on the Caribou Contests website or via a third party such as a voucher. You may not rent, transfer, assign, commercially exploit, resell or sublicence access to our services to any third party. You may use the Caribou website and services (including downloadable content) for your personal, non-commercial purposes. You may not, without explicit written permission from Caribou Contests, modify or create any derivative product based on the Caribou website, its content, or services.

      Additional restrictions on use apply based on the Product Type. Caribou Contests reserves the right to use user data such as IP addresses or statistical analysis of contest entries to help detect whether there has been a violation of these terms. Upon becoming aware of violations of these Restrictions or other parts of these Terms, Caribou may at its sole discretion, but is not required to, suspend or terminate your account, disable your access to the website and/or take any steps that we deem appropriate to address the situation.

    5. Contest Participation

      Participants in contests organized by Caribou Contests accept and agree to abide by our Contest Rules. We reserve the right to decide at our sole discretion whether these rules have been violated and take action against transgressors, which may include but is not limited to suspension of accounts and deletion or removal of contest entries. Repeat offenders may be banned from using our services.

    6. Coordinator Account Products

      Caribou Contests offer products which can be purchased for a Caribou Coordinator account, including but not limited to access to written solutions and extra content related to our Online Games. Purchases made for a Caribou Coordinator account are for the personal use of the holder of this account and may only be accessed via this account. These products may be used for example in class by the Caribou Coordinator, but must not be distributed in print or electronic form to students, parents, or others.

    7. Student Account Products

      Caribou Contests offers products which may be used by students, including but not limited to participation in contests, access to written solutions, and extra content related to our Online Games. Purchases made for a Student account are for the personal use of the holder of this account and may only be accessed via this account.

    8. School-Wide Products

      We offer School-Wide products, such as School Wide Contest Access, at a discounted price so that it is easier for physical schools to encourage participation from all students, even those who otherwise would not be interested.

      A physical school which offers hybrid or blended learning alongside their regular in-person classes may be eligible for School Wide Products if ALL of their virtual students would typically attend the school's physical location under normal circumstances.

      As such, School-Wide products are intended solely for physical institutions in a single location. Unless an exception is granted by explicit written permission from Caribou Contests Inc, the following types of institutions are NOT eligible to use a single School-Wide product. These are examples and do not constitute an exhaustive list.

      1. School with multiple campuses in different locations: In this case, each campus is considered a school and should make a separate purchase.
      2. School Boards: In this case, each school should purchase its own School-Wide product. Contact Us to negotiate prices for a whole school board.
      3. Homeschool organizations with hundreds of families: In this case, we allow up to 40 families under each School-Wide product.
      4. Outside participants at a school: Teachers may allow outside participants to take part at their school (e.g. a homeschooled student who lacks internet at home), but in this case they must pay their own participation fees.
      5. Virtual Schools / Online Schools / Distance Education Centres:
        1) Virtual schools which are specialized (e.g. math-focused tutoring centres or schools only for gifted students) and/or which have students participating in many locations (across multiple cities/states/countries):
        • These schools are not eligible for a School Wide Product. Student participation must be paid for via individual Contest Participation. Depending on how widespread the participants are, it may be better to create multiple schools in the system or sign students up with the Caribou Virtual School to accommodate different time zones.
        2) For Virtual schools which are typical schools serving a certain catchment area (usually one city or neighbourhood):
        • These schools are not eligible for a School Wide product. There are 2 options:
        • A) a purchase of individual Contest Participation for each participating student,
        • B) a payment based on the number of students in a school, NOT the number of actually participating, at a rate of $1 per student (not per contest but for all 6 contests in the Caribou Cup). This option is only open to those virtual schools with over 300 students total, and payment must be made via cheque or transfer to qualify for this special price. Please Contact Us to confirm your eligibility for this offer and to organize payment. We provide the second option to introduce students to math who would otherwise not participate.

      Caribou Contests reserves the right to use user data such as IP addresses to detect whether there has been a violation of these terms.

    9. Payment methods

      To make a purchase on the Caribou Contests website, you must provide us with one or more Payment Methods. You authorize us to debit your account via the Payment Method provided. You are liable for any amount not withdrawn. If a payment is unsuccessful or insufficient due to card expiration, insufficient balance, or any other reason, or if Caribou Contests has lent payment, but does not receive payment for this purchase in a timely manner, we may at our discretion suspend your access to our services until we have successfully withdrawn from your account using a valid Payment Method. For some Payment Methods, the provider may charge you certain fees, such as fees on international transactions or other charges relating to the processing of your Payment Method. Local tax charges may vary depending on the Payment Method used. Please contact your Payment Method provider for more information.

    10. Returns & Refunds

      Payments are non-refundable and we do not give refunds or credits for periods of partial use, or for any unused Caribou Contests content. Refunds may be given in the case of accidental double payment or in other situations that Caribou deems appropriate. However, we will do our best to reach a compromise for any issue that arises. For example, we may shift a payment to another account, to an equivalent product or to a future Caribou Cup year if access to this product or service has been purchased for the wrong account, year, or if the affected account(s) have gained access to this same product or service via a different purchase, such as through their institution. Please get in touch with us via our Contact Us form if such a situation arises.

  10. Third Party Links

    Occasionally, at our discretion, we may include or offer links or information about third party products or services on our website. This does not necessarily imply sponsorship, endorsement, or approval or arrangement between Caribou and the owners of those websites. These third party sites have separate terms of use and independent privacy policies. Caribou therefore takes no responsibility for any of the content or activities found on the linked websites.

    Nonetheless, we seek to protect the integrity of our site and welcome any feedback about these sites. If you find any link on our Website that is offensive for any reason, you are free to contact and inform us any moment. We will consider requests to remove links but we are not obligated to or so or to respond to you directly.

  11. Termination of Accounts/Services

    If Caribou becomes aware of any potential violation of these Terms, Privacy Policy, or Contest Rules, we reserve the right (but shall have no obligation) to decide whether this constitutes a transgression of these requirements. Caribou may remove content and User data such as contest entries, or terminate a User's access without prior notice and at our sole discretion.

  12. Governing Law

    At Caribou Contests we want you to enjoy our products and services. If a dispute or issue arises, you agree to contact us and try to resolve it informally.

    Any claims arising out of or relating to these Terms, the Privacy Policy, or our services will be governed by the laws of Ontario, Canada.
